Agreement to Terms

By accessing or using the RitePixel website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

Services Description

RitePixel provides professional 2D animation services including but not limited to:

• Character Animation
• Motion Graphics
• Explainer Videos
• Commercial Animation
• Brand Animation
• Concept Art and Storyboarding

The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate project agreement or proposal.

Project Terms and Payment

Project Proposals

All projects begin with a detailed proposal outlining the scope of work, deliverables, timeline, and costs. Both parties must agree to and sign the proposal before work commences.

Payment Terms

• A deposit of 50% is required before work begins on any project
• The remaining 50% is due upon project completion and before final delivery
• Payments are non-refundable once work has commenced
• Late payments may result in project delays or suspension
• Additional fees may apply for rush projects or expedited delivery

Revisions

Each project includes a specified number of revision rounds as outlined in the project proposal. Additional revisions beyond the agreed-upon scope may incur additional charges.

Intellectual Property Rights

Client Ownership

Upon receipt of full payment, the client receives full ownership and rights to the final deliverables created specifically for their project. This includes the right to use, modify, and distribute the animation for commercial purposes.

RitePixel Rights

RitePixel retains the right to:

• Display completed work in our portfolio
• Use project work for marketing and promotional purposes
• Reference the project in case studies or testimonials

If confidentiality is required, a separate Non-Disclosure Agreement (NDA) can be arranged.

Third-Party Materials

The client is responsible for providing or licensing any third-party materials (music, stock footage, fonts, etc.) used in the project. RitePixel is not liable for any copyright infringement related to client-provided materials.

Client Responsibilities

The client agrees to:

• Provide timely feedback and approvals to keep the project on schedule
• Supply all necessary materials, information, and assets required for the project
• Ensure they have the rights to all materials provided to RitePixel
• Review and approve deliverables within the agreed-upon timeframe
• Make payments according to the agreed schedule

Project Timeline and Delays

Project timelines are estimates and may be affected by factors including but not limited to:

• Delays in client feedback or approval
• Changes to the original project scope
• Technical difficulties or unforeseen circumstances
• Availability of third-party resources or materials

RitePixel will make reasonable efforts to meet agreed-upon deadlines but is not liable for delays caused by circumstances beyond our control.

Limitation of Liability

RitePixel's liability for any claims arising from our services is limited to the total amount paid by the client for the specific project in question. We are not liable for any indirect, incidental, special, consequential, or punitive damages.

Termination

Either party may terminate a project agreement with written notice. In the event of termination:

• The client is responsible for payment for all work completed up to the termination date
• RitePixel will deliver all completed work upon receipt of payment
• Any deposits paid are non-refundable
• Both parties' confidentiality obligations continue after termination

Warranty and Guarantees

RitePixel warrants that all services will be performed in a professional and workmanlike manner. We guarantee that our work will be original and will not infringe upon the intellectual property rights of any third party. However, we do not guarantee specific results or outcomes from the use of our animations.

Modifications to Terms

RitePixel reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in India.
